Terms of Service

These Terms of Service ("Terms") govern your access to and use of Fixline ("Platform", "we", "us", or "our"), operated by Close App Private Limited, having its registered office at UG-006, MGF Metropolis Mall, Mehrauli-Gurgaon Rd, Maruti Housing Colony, Sector 25, Gurugram, Sarhol, Haryana 122002, India.

1. Nature of the Platform

Fixline functions strictly as an online marketplace intermediary facilitating scheduled, one-on-one virtual human-to-human communications between independent creators, consultants, or influencers ("Creators") and individual fans or clients ("Users"). Fixline is not an agency, employer, or talent broker. We do not control, supervise, or assume liability for statements made, opinions shared, or advice given during call sessions.

2. Eligibility & Account Security

• You must be at least 18 years of age to register or book a slot. Minors may access the Platform exclusively under the direct supervision and consent of a parent or legal guardian.
• Users and Creators must provide accurate, verifiable contact and identity details. Impersonation of any person or organization is strictly prohibited.

3. Booking Fees, Payments, & In-App Human Services

• Individual Live Services: Payments processed on Fixline represent consideration exclusively for scheduled, real-time 1-on-1 human communication and time reservation, and do not constitute pre-recorded or static digital content delivery.
• Creator Rates: Creators set their own per-slot rates, provided the rate complies with Fixline's platform minimum floor.
• Platform Commission: Fixline deducts a fixed 20% platform commission from the gross booking fee paid by the User on every completed slot.
• Payment Gateways: Transactions are handled by licensed third-party payment aggregators. Users agree to abide by all applicable payment aggregator rules and security standards.

4. Settlement, Payouts, & Statutory Tax Deductions (TDS/GST)

• Self-Settlement Trigger: Net Creator earnings are credited to the Creator's dashboard upon slot completion. Creators must initiate a Self-Settlement request to release eligible funds.
• Disbursement Timeline: Cleared payouts are transferred to the Creator's verified Indian bank account or UPI ID within 15 calendar days from the self-settlement request date.
• Statutory Withholdings (Section 194-O & GST): Payouts are made net of applicable statutory withholdings. Close App Private Limited deducts Tax Deducted at Source (TDS) under Section 194-O of the Indian Income Tax Act (and any other statutory tax mandates) before remitting the balance. Creators remain exclusively responsible for reporting personal income, filing respective tax returns, and discharging applicable GST liabilities.

5. User Conduct & Zero-Tolerance Violations

The following actions result in immediate session disconnects, account bans, and total forfeiture of pending balances:

• Harassment, stalking, threats, blackmail, extortion, or hate speech.
• Sexually explicit, pornographic, or non-consensual visual or audio acts.
• Deceptive investment schemes, illegal multi-level marketing, or unauthorized gambling promotions.
• External recording, unauthorized broadcasting, or distribution of sessions without prior mutual written consent.

6. Limitation of Liability

To the fullest extent permitted by applicable Indian law, Close App Private Limited, its directors, employees, and agents will not be liable for any indirect, incidental, punitive, or consequential damages resulting from platform downtime, dropped calls, telecommunication defects, or user interactions. Aggregate liability shall not exceed the gross amount paid by the User for the specific disputed session.

7. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Courts located in Gurugram, Haryana, India retain exclusive jurisdiction for resolving all disputes arising from these Terms.
